Vince McMahon and his insurers have reportedly agreed to pay $42.5 million to resolve litigation surrounding WWE’s merger with UFC, while WWE itself will pay an additional $105 million under the proposed settlement.
According to a recent report from Bloomberg, shareholders involved in the case disclosed the full $147.5 million settlement figure in a court filing submitted Friday, August 7.
The disclosure comes after concerns were raised over how the settlement had previously been presented, with shareholders arguing that earlier public filings did not provide the complete financial picture.

The shareholders leading the case criticized WWE parent company TKO Group Holdings Inc. for making what they described as “partial disclosures” in a securities filing.
According to the court filing, those disclosures created what shareholders called “an incomplete picture of the full settlement”, leading to confusion surrounding the actual value of the agreement.
The litigation centers on WWE’s 2023 merger with UFC, which ultimately created TKO Group Holdings under Endeavor’s ownership structure.
The lawsuit alleged that the transaction’s architects had “warped” the deal to benefit McMahon and other insiders, including Endeavor CEO Ari Emanuel.
WWE-UFC merger remains under scrutiny
The settlement brings a major financial development to a case that has continued to scrutinize the circumstances surrounding WWE’s sale and subsequent combination with UFC.
WWE and UFC officially became part of TKO in September 2023 following the completion of the transaction announced earlier that year.
The latest agreement does not erase the controversy surrounding the deal, but it would provide a financial resolution to the shareholder litigation if approved and finalized through the court process. The case is formally listed as In re World Wrestling Ent. Inc. Merger Litig., Del. Ch., No. 2023-1166.
